Terms & Conditions
These Terms and Conditions (“Terms”) govern your use of the website [www.unitahr.com.au] (the “Site”) and the engagement of services provided by UNITA HR Pty Ltd, ABN 67 799 120 897 (“UNITA HR”, “we”, “our”, “us”).
By accessing or using the Site, submitting an enquiry, or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site or engage our services.
Where you engage UNITA HR for specific services, the terms of that engagement will generally be set out in a separate proposal, service agreement, statement of work or engagement letter (“Service Agreement”). Where there is any inconsistency between these Terms and a Service Agreement, the Service Agreement will prevail to the extent of that inconsistency.
1. About UNITA HR
UNITA HR provides outsourced HR partnering, HR strategy and compliance support, workplace investigations, recruitment support, remuneration reviews, organisational design, workplace training and leadership development, and related human resources advisory services (“Services”) to businesses across Australia.
Information on the Site is provided for general informational purposes about our Services and does not constitute a binding offer to provide any specific service unless and until a Service Agreement has been entered into between UNITA HR and you (or your business).
2. Use of the Website
By using the Site, you agree that you will not:
- Use the Site for any unlawful purpose or in violation of these Terms
- Attempt to gain unauthorised access to the Site, our systems, or any related network
- Introduce any virus, malware or other harmful code to the Site
- Copy, reproduce, scrape, or republish content from the Site without our prior written consent
- Use the Site to transmit unsolicited marketing or spam
We may suspend or restrict your access to the Site, without notice, if we reasonably believe you have breached these Terms.
3. Enquiries and Consultations
Where you submit an enquiry form, request a consultation, or otherwise contact us through the Site, you agree to provide accurate and complete information. Submitting an enquiry does not create a contractual relationship between you and UNITA HR — a contractual relationship is only formed once a Service Agreement has been agreed in writing.
Any free consultation offered through the Site is provided at UNITA HR’s discretion and is intended to discuss your potential HR needs. It does not constitute formal HR, legal, or industrial relations advice, and should not be relied upon as such. See Section 6 (“No Legal Advice”) below.
4. Engagement of Services
Where you engage UNITA HR to provide Services, the following general terms apply, in addition to any terms set out in the applicable Service Agreement:
- Fees: Fees for Services will be set out in your Service Agreement, quote, or proposal, and may be charged as a fixed fee, retainer, hourly rate, or project-based fee, as agreed.
- Payment terms: Invoices are payable within [e.g. 14 days] of the invoice date, unless otherwise agreed in writing.
- Scope of services: Services are limited to those expressly agreed in the relevant Service Agreement. Any additional work outside that scope may be subject to additional fees.
- Client cooperation: You agree to provide timely, accurate and complete information reasonably required for us to perform the Services. Delays or inaccuracies in information provided by you may affect our ability to deliver the Services and may impact timelines.
- Cancellation: Cancellation or termination terms (including any notice period or applicable fees) will be set out in your Service Agreement.
5. Workplace Investigations
Where UNITA HR is engaged to conduct a workplace investigation, the investigation will be conducted independently, impartially and in accordance with the scope agreed with the engaging business. UNITA HR’s role is to investigate and report findings; any decisions regarding outcomes, disciplinary action, or other employment consequences remain the responsibility of the engaging business.
Information gathered during an investigation will be treated as confidential and handled in accordance with our Privacy Policy and any specific confidentiality terms agreed with the engaging business, and disclosed only as reasonably necessary to conduct and report on the investigation, or as required by law.
6. No Legal Advice
UNITA HR provides HR consulting and advisory services. While our advice is informed by employment legislation, modern awards, and the Fair Work Act 2009 (Cth), our Services do not constitute legal advice. We recommend that you seek independent legal advice on any matter involving legal risk, legal interpretation, or potential litigation.
UNITA HR makes reasonable efforts to ensure the accuracy and currency of advice and information we provide, but employment laws, awards and regulations change over time, and we do not guarantee that any advice will remain accurate at all future points in time.
7. Intellectual Property
All content on the Site, including text, graphics, logos, templates, and other materials, is owned by or licensed to UNITA HR and is protected by Australian and international intellectual property laws. You may view and download content from the Site for your own personal or internal business use, but may not reproduce, distribute, modify, or commercially exploit any content without our prior written consent.
Any documents, templates, policies, reports or other deliverables created by UNITA HR as part of a Service Agreement remain subject to the intellectual property terms set out in that Service Agreement. Unless otherwise agreed, UNITA HR grants clients a licence to use such deliverables for their internal business purposes.
8. Confidentiality
Both UNITA HR and our clients may have access to confidential information in the course of an engagement. Each party agrees to keep the other’s confidential information secure and to use it only for the purposes of the engagement, except where disclosure is required by law or with the other party’s consent. Specific confidentiality obligations may also be set out in your Service Agreement.
9. Limitation of Liability
To the maximum extent permitted by law, UNITA HR’s liability for any loss or damage arising from your use of the Site or our Services, whether in contract, tort (including negligence), or otherwise, is limited to the amount of fees paid by you to UNITA HR for the Services giving rise to the claim, except where such limitation is not permitted by the Competition and Consumer Act 2010 (Cth) or other applicable law.
To the maximum extent permitted by law, UNITA HR excludes all liability for any indirect, special, or consequential loss, including loss of profits, loss of business opportunity, or loss of data, arising from your use of the Site or our Services.
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law.
10. Indemnity
You agree to indemnify and hold UNITA HR, its officers, employees and contractors harmless from any claim, loss, damage, or expense (including reasonable legal costs) arising from your breach of these Terms, your misuse of the Site, or any information you provide to us that is false, inaccurate or misleading.
11. Third-Party Links and Content
The Site may contain links to third-party websites or content. These links are provided for convenience only. UNITA HR does not endorse and is not responsible for the content, accuracy, or privacy practices of any third-party website.
12. Privacy
Our collection and handling of personal information is governed by our Privacy Policy, available at [www.unitahr.com.au/privacy-policy], which forms part of these Terms.
13. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, business practices, or legal requirements. The most current version will be published on the Site, and continued use of the Site or our Services after changes are published constitutes acceptance of the updated Terms. Material changes affecting an active Service Agreement will be communicated to affected clients directly.
14. Termination of Website Access
We may suspend or terminate your access to the Site at any time, without notice, if we reasonably believe you have breached these Terms or engaged in conduct that is unlawful, harmful, or disruptive to the Site or other users.
15. Governing Law
These Terms are governed by the laws of [Western Australia], Australia. You and UNITA HR submit to the exclusive jurisdiction of the courts of [Western Australia] in respect of any dispute arising from these Terms or your use of the Site.
16. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be severed, and the remaining provisions will continue in full force and effect.
